3. Payment Terms

For all services, payments will be due as follows:

Upon completion, the final product will be delivered as per the agreed specifications. Any additional requests or modifications beyond the original scope will be subject to extra charges.

5. Client Responsibilities

You agree to provide timely feedback, information, and resources necessary for the completion of your project. Failure to do so may result in delays or additional costs. Katherine Lawrence Consulting, LLC is not responsible for project delays due to a lack of client cooperation.

6. Intellectual Property

Unless otherwise stated, all content, designs, code, and materials created by Katherine Lawrence Consulting, LLC are the intellectual property of the Company until full payment has been received. Upon full payment, ownership of the final product will transfer to the client.

We reserve the right to display completed work in our portfolio unless expressly forbidden by the client in writing.

7. Confidentiality

Both parties agree to keep all confidential information shared during the course of the project private. Confidential information includes, but is not limited to, business processes, client information, and proprietary materials.

8. Warranties and Disclaimers

Katherine Lawrence Consulting, LLC makes no warranties or guarantees regarding the success or performance of any website or application. We provide services on an “as is” and “as available” basis.

We do not guarantee that our services will be error-free, uninterrupted, or that any defects will be corrected promptly.

9. Limitation of Liability

To the fullest extent permitted by law, Katherine Lawrence Consulting, LLC will not be liable for any direct, indirect, incidental, special, or consequential damages that result from the use of, or inability to use, our services. This includes, but is not limited to, loss of profits, data, or goodwill.

10. Termination

Either party may terminate the agreement at any time by providing written notice. In the event of termination, the client will be responsible for any work completed up to the termination date, and any payments made will be non-refundable.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, USA, without regard to its conflict of law provisions. Any disputes arising from these Terms or related services shall be subject to the exclusive jurisdiction of the state or federal courts located in New York, NY.

12. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Clients will be notified of significant changes to the Terms, but it is your responsibility to review them periodically. Continued use of our services after any changes will indicate your acceptance of the updated Terms.
